1. Agreement
By accessing or using Relay ("Service"), operated by 17576528 Canada Inc. ("Company," "we," "us"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Service Description
Relay is a lead response management platform that provides:
- Automated lead ingestion and routing
- SMS and voice communication tools
- Real-time lead notification and claiming
- Response time tracking and team performance analytics
- AI-powered lead reactivation campaigns (where available)
The Service is designed for use across multiple industries including, but not limited to, automotive sales and real estate.
3. Accounts and Access
You must provide accurate and complete registration information. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
Each organization account ("Team") may have multiple users with different permission levels (owner, manager, sales representative). The account owner is responsible for managing user access and permissions.
4. Acceptable Use
You agree not to:
- Use the Service to send unsolicited messages in violation of applicable anti-spam laws, including CASL (Canada's Anti-Spam Legislation) and the TCPA (Telephone Consumer Protection Act)
- Contact individuals who have opted out of receiving communications
- Transmit content that is unlawful, harassing, defamatory, or fraudulent
- Attempt to gain unauthorized access to other users' accounts or data
- Interfere with or disrupt the Service infrastructure
- Resell or redistribute access to the Service without written permission
5. Communications Compliance
The Service facilitates SMS messaging and voice calls on your behalf. You are solely responsible for:
- Obtaining and maintaining proper consent from contacts before sending messages, in accordance with TCPA, CASL, and any other applicable regulations
- Honoring all opt-out requests promptly (the Service processes STOP requests automatically, but you must not circumvent this functionality)
- Maintaining records of consent as required by law
- Ensuring the content of your messages complies with all applicable laws and regulations
- Complying with A2P (Application-to-Person) messaging requirements established by wireless carriers
We provide tools to support your compliance efforts, but compliance with telecommunications regulations is ultimately your responsibility.
6. Voice Calls and Recording
The Service enables outbound and inbound voice calls through internet-based telephony. If call recording is enabled, you are responsible for providing appropriate notice and obtaining consent from all parties as required by applicable federal and provincial or state laws. Some jurisdictions require all-party consent for call recording.
7. Phone Numbers
Phone numbers provisioned through the Service are licensed to you for the duration of your subscription. Upon cancellation, phone numbers may be released and are not guaranteed to be recoverable. We recommend notifying your contacts of any number changes prior to cancellation.
8. Billing and Payment
Subscription fees are billed monthly in advance. Usage charges for SMS messages and voice calls are deducted from your prepaid wallet balance. You are responsible for maintaining a sufficient wallet balance to support your communication needs. The Service may restrict outbound communications if your wallet balance reaches zero.
All fees are quoted in Canadian dollars unless otherwise specified. Prices are subject to change with 30 days' notice.
Refunds are not provided for partial months of service or unused wallet credits, except where required by law.
9. Data Ownership
You retain full ownership of all data you submit to the Service, including contact information, lead records, conversation history, and any files uploaded. We do not claim ownership of your data.
Upon termination of your account, you may request an export of your data within 30 days. After 30 days, your data may be permanently deleted.
10. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any damages resulting from service interruptions.
11. Intellectual Property
The Service, including its software, design, and documentation, is the intellectual property of 17576528 Canada Inc. and is protected by applicable copyright and intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.
12. Limitation of Liability
To the maximum extent permitted by law, 17576528 Canada Inc. shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, leads, data, or business opportunities, arising from your use of the Service.
Our total liability for any claims arising under these Terms shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.
13. Indemnification
You agree to indemnify and hold harmless 17576528 Canada Inc. from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation, including telecommunications and anti-spam legislation.
14. Termination
Either party may terminate the subscription at any time. Upon termination by you, your access will continue through the end of the current billing period. We may suspend or terminate your account immediately if you violate these Terms or engage in activity that harms the Service or other users.
15. Modifications
We may update these Terms from time to time. Material changes will be communicated via email or through the Service at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
16. Governing Law
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of British Columbia.
